Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you ("you," "your," or "Customer") and Mizu Financial Inc., a Delaware corporation with its principal place of business at 605 East Evelyn Avenue, Unit 6361, Mountain View, CA 94041 ("Mizu," "we," "us," or "our"). By accessing or using the Mizu website at mizufinancial.com, the Mizu dashboard, or any service we provide (collectively, the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
IMPORTANT NOTICES — PLEASE READ CAREFULLY.
- Mizu is not a law firm, a CPA firm, an investment advisor, a bank, a money transmitter, or a tax advisor. Mizu does not provide legal, tax, accounting, or investment advice. Any information provided through the Services is general in nature and is not a substitute for advice from a qualified professional.
- Our Services include facilitating the filing of business formation documents and tax-identification applications, providing a registered agent and US business address, and assisting with introductions to third-party banking and payment processing providers. We do not guarantee approval by any government agency, bank, or payment processor.
- These Terms contain an arbitration agreement and class-action waiver in Section 18. Please review them carefully.
1. Eligibility
To use the Services, you must (a) be at least 18 years old and have the legal capacity to enter into a binding contract; (b) not be a person with whom US persons are prohibited from transacting under applicable sanctions, export-control, or anti-terrorism laws (including the lists maintained by the US Department of the Treasury's Office of Foreign Assets Control); and (c) provide accurate, current, and complete information when you register and when you submit documents through the Services.
The Services are offered globally. You are responsible for determining whether your use of the Services is lawful in your country of residence and citizenship, and for complying with all local laws that apply to you, including tax-reporting obligations in your home jurisdiction.
2. Description of the Services
Mizu provides a platform that helps founders form and operate a US business. Depending on the package you purchase, the Services may include:
- Preparation and filing of Articles of Organization for a Wyoming limited liability company;
- Preparation and filing of Form SS-4 with the US Internal Revenue Service to obtain an Employer Identification Number (EIN), with an optional expedited filing;
- Provision of a Wyoming registered agent service and a Wyoming legal address;
- An optional US business mailing address and US business phone number;
- Introductions to and onboarding support with third-party banking providers (such as Mercury) and payment processing providers (such as Stripe);
- Delivery of formation and corporate documents through your Mizu dashboard; and
- Optional annual compliance services, including preparation of IRS Form 5472 with a pro forma Form 1120, Wyoming annual report filing, and deadline tracking.
Specific deliverables and timelines are described on our Services pages. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, so long as we do so in a commercially reasonable manner.
3. Your Account
To use most of the Services, you must create a Mizu account. You are responsible for (a) maintaining the confidentiality of your login credentials; (b) all activity that occurs under your account; and (c) promptly notifying us at info@mizufinancial.com of any unauthorized access or use.
You may not share your account, allow another person to use it, or create an account on behalf of an entity you are not authorized to represent.
4. Customer Responsibilities; Required Information
You are responsible for providing accurate, complete, and timely information and documents that we need to perform the Services, including personal identification documents (such as a passport), tax-residency information, ownership information, and information about your business and its beneficial owners. You authorize Mizu, acting as your agent for the limited purposes set out in these Terms, to submit such information and documents to the Wyoming Secretary of State, the Internal Revenue Service, and third-party providers (including banking and payment processing partners) to the extent reasonably required to deliver the Services.
You represent and warrant that (a) all information and documents you provide are true, accurate, and not misleading; (b) you own or have permission to provide the information; (c) you will update any information that becomes inaccurate; and (d) you are the beneficial owner of the entity being formed, or you are otherwise lawfully authorized to act on its behalf.
5. Third-Party Services
Certain aspects of the Services rely on or involve third-party providers, including the Wyoming Secretary of State, the Internal Revenue Service, banking partners (such as Mercury), payment processing partners (such as Stripe), telecommunications providers, and mail-handling providers (each, a "Third-Party Provider"). Your relationship with each Third-Party Provider is governed by that provider's own terms and privacy policy, to which you agree when you apply for or use their services.
Mizu does not control Third-Party Providers and does not guarantee that (i) any government agency will approve a filing within a specific time frame or at all; (ii) any bank will approve or maintain an account application; (iii) any payment processor will approve or maintain a merchant account; or (iv) any Third-Party Provider will deliver a service without error or delay. Decisions by Third-Party Providers are outside our control.
6. Fees, Payment, and Taxes
Current fees for the Services are posted on our pricing page. Representative fees as of the effective date include a one-time package fee (currently $499) for the core company-setup package, an optional same-day EIN expedite fee (currently $99), and an annual compliance fee (currently $399/year) beginning in Year 2. Government filing fees paid directly to the state (such as the $60 Wyoming annual report fee) are separate.
You authorize Mizu to charge your payment method for all fees that you incur. All fees are in US dollars and are exclusive of any taxes, duties, or withholding obligations that may apply to you in your home jurisdiction; you are solely responsible for those. Fees are non-refundable except as expressly provided in Section 7 or as required by applicable law.
We may change our fees going forward by posting updated pricing on our website. Fee changes will not apply retroactively to services already purchased.
7. Refund Policy
We offer the following limited refund rights:
- Money-back guarantee on formation. If we are unable to complete your Wyoming LLC formation because of a failure on our side, you are entitled to a full refund of the core package fee.
- Full refund before work starts. You may request a full refund at any time before you have begun the onboarding wizard.
- Partial refund after work starts. Once you have begun the onboarding wizard and we have started delivering key services (for example, filing the Articles of Organization, submitting the EIN application, or incurring third-party fees on your behalf), a partial refund may be available. We will prorate the refund based on the work performed and the third-party fees already incurred, which are non-refundable.
- No refund for certain items. Government filing fees, expedite fees that have already been consumed, and third-party fees charged by a Third-Party Provider are non-refundable once they have been paid on your behalf.

8. Annual Compliance Service (Optional)
If you purchase our annual compliance service, we will prepare and file a Wyoming annual report and prepare IRS Form 5472 together with a pro forma Form 1120 based on information you provide. Timely and accurate filing depends on you. You must respond to our information requests on time. IRS penalties for late, incomplete, or missing Form 5472 begin at $25,000 per form, and Wyoming may administratively dissolve a noncompliant LLC. Mizu is not responsible for penalties or adverse actions resulting from (a) information you fail to provide or provide late, (b) information you provide that turns out to be inaccurate, or (c) decisions of any government agency.
9. Privacy
Our Privacy Policy explains how we collect, use, and share information about you. By using the Services, you acknowledge that your information will be handled as described in the Privacy Policy.
10. Acceptable Use; Prohibited Conduct
You agree not to use the Services to:
- form or operate a business that is engaged in activities prohibited under applicable US or local law;
- engage in money laundering, terrorism financing, tax evasion, sanctions evasion, or any activity that violates anti-bribery or anti-corruption laws;
- misrepresent your identity, residence, beneficial ownership, or business activity;
- infringe the intellectual property rights, publicity rights, or privacy rights of any person;
- upload any content that is unlawful, defamatory, obscene, or harmful;
- circumvent, disable, or interfere with any security, rate-limiting, or access-control feature of the Services;
- scrape, crawl, or bulk-download content from the Services except as allowed by our robots.txt;
- use the Services to build a competing product; or
- use any automated means to access the Services in a way that imposes an unreasonable load on our infrastructure.
We may suspend or terminate your access if we reasonably believe you have violated this Section 10, or if continuing to provide the Services would expose Mizu to legal or reputational risk.
11. AI Features and Automated Assistance
The Services may use machine-learning models to guide onboarding, answer routine questions, and flag potential issues. Automated output may be incomplete or inaccurate. You should not rely on automated output for legal, tax, or financial decisions; review any output and consult a qualified professional before acting on it.
12. Intellectual Property
Mizu and its licensors own all rights in the Services, including the website, dashboard, software, text, graphics, logos, and documentation (collectively, the "Mizu Materials"). We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Mizu Materials solely for the purpose of using the Services under these Terms.
You retain all rights in the content you submit to us ("Customer Content"). You grant Mizu a worldwide, royalty-free license to use, reproduce, transmit, and process Customer Content to provide and improve the Services, to comply with applicable law, and to enforce these Terms. You represent that you have all rights necessary to grant this license.
Feedback you voluntarily provide to us about the Services is non-confidential, and we may use it without restriction or compensation.
13. Confidentiality of Customer Documents
We treat identity documents and other sensitive information that you submit as confidential and handle them in accordance with our Privacy Policy and our security practices. We share them with Third-Party Providers and governmental agencies only as necessary to deliver the Services you have requested, or as required by law.
14. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Mizu disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising out of course of dealing or usage of trade.
Mizu does not warrant that the Services will be uninterrupted, secure, or error-free; that any filing will be accepted, any EIN will be issued on a particular date, or any bank or payment account will be approved or maintained; or that any estimated timelines will be met.
Nothing in the Services is legal, tax, accounting, or investment advice. Always consult a qualified professional licensed in your jurisdiction before making decisions based on information in the Services.
15. Limitation of Liability
To the fullest extent permitted by applicable law:
- No indirect damages. Mizu will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages; loss of profits, revenues, goodwill, or data; or cost of substitute services, arising out of or related to these Terms or the Services, whether based in contract, tort, strict liability, or any other theory, and whether or not Mizu has been advised of the possibility of such damages.
- Cap on direct damages. Mizu's total aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of (i) the fees you paid to Mizu for the Services giving rise to the claim in the 12 months preceding the event giving rise to liability, or (ii) US $500.
- Government penalties. Mizu is not liable for any governmental fines, penalties, interest, or other amounts levied against you or your entity, including IRS penalties for late or incorrect filings and state dissolution fees.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you. Nothing in these Terms excludes liability that cannot lawfully be excluded.
16. Indemnification
You will defend, indemnify, and hold harmless Mizu and its officers, directors, employees, and agents from and against any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; (c) inaccurate or incomplete information you provide to Mizu; or (d) the activities of the entity you form or operate using the Services.
17. Term; Suspension; Termination
These Terms begin when you first access the Services and continue until terminated. You may terminate at any time by closing your account; some Services, such as registered agent service, must be transferred to another provider before termination can take effect.
We may suspend or terminate your access to the Services, in whole or in part, at any time if (a) you breach these Terms; (b) we reasonably believe that continuing the Services would violate law or expose Mizu to liability; (c) a Third-Party Provider requires it; or (d) we discontinue the Services.
Sections 4, 6, 7, 9, 10, 12, 13, 14, 15, 16, 18, 19, and any other provisions intended to survive will survive termination.
18. Governing Law; Dispute Resolution; Arbitration; Class-Action Waiver
Governing Law. These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Informal Resolution First. Before filing a claim, you agree to try to resolve the dispute informally by contacting info@mizufinancial.com. We will try to resolve the dispute within 60 days.
Binding Arbitration. If the dispute is not resolved, you and Mizu agree that any dispute, claim, or controversy arising out of or related to these Terms or the Services will be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures (or, for disputes of US $250,000 or less, JAMS Streamlined Arbitration Rules). The seat of arbitration will be Wilmington, Delaware, USA. The arbitration will be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
Class-Action Waiver. You and Mizu each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding.
Exceptions. Either party may bring an individual action in small-claims court, or seek injunctive or other equitable relief in a court of competent jurisdiction for claims relating to intellectual property, unauthorized access, or breach of confidentiality.
Opt-Out. You may opt out of the arbitration agreement in this Section 18 within 30 days of first accepting these Terms by emailing info@mizufinancial.com with the subject line "Arbitration Opt-Out" and including your name and Mizu account email. Opting out will not affect any other part of these Terms.
19. International Customers; Export and Sanctions Compliance
The Services are operated from the United States. By using them, you consent to the processing of your information in the United States and other countries where Mizu and its service providers operate.
You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive US sanctions, and that you are not on any US government list of prohibited or restricted parties. You will not use the Services in violation of any export-control or sanctions law.
20. Changes to the Terms
We may update these Terms from time to time. If we make a material change, we will give you reasonable notice, for example by posting an updated version on our website or by emailing the address associated with your account, before the change takes effect. Your continued use of the Services after the effective date of an update constitutes acceptance of the updated Terms.
21. Notices
Notices to you may be sent to the email address associated with your account or posted in the Mizu dashboard. Notices to us must be sent to info@mizufinancial.com and, for legal notices, also mailed to Mizu Financial Inc., 605 East Evelyn Avenue, Unit 6361, Mountain View, CA 94041, USA.
22. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and any order form or package description you accept when purchasing, are the entire agreement between you and Mizu about the Services.
Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary, or severed, and the remainder of the Terms will remain in effect.
No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
Independent Contractors. Mizu and you are independent contractors. These Terms do not create a partnership, joint venture, agency, franchise, or employment relationship, except that you appoint Mizu as your limited-purpose agent as described in Section 4.
Force Majeure. Neither party is liable for a failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or utility outages, acts of government, or actions of Third-Party Providers.
Headings. Section headings are for convenience only and have no legal effect.
